1. Acceptance

These Terms & Conditions (“Terms”) govern your access to and use of HybriShop.

By accessing, browsing, registering, purchasing, selling, or otherwise using HybriShop, you agree to these Terms.

If you do not agree with these Terms, you should not use the applicable HybriShop services.

2. About HybriShop

HybriShop Digital Trade Corp. operates HybriShop as a digital trade marketplace.

HybriShop may connect:

Consumers;
Sellers;
Manufacturers;
Suppliers;
Wholesalers;
Businesses;
Institutions;
Other commercial participants.

HybriShop may support B2C, B2B, wholesale, sourcing, procurement, and other digital trade activities.

3. User Accounts

Certain services may require an account.

You agree to:

Provide accurate information;
Maintain account security;
Keep credentials confidential;
Update inaccurate information;
Notify HybriShop of unauthorized account access.

You are responsible for activities conducted through your account, subject to applicable law.

4. Buyer Accounts

Buyers may use HybriShop to discover, compare, purchase, or otherwise interact with Products offered by Sellers.

Buyers must provide accurate information necessary to complete transactions.

5. Seller Accounts

Sellers must comply with the separate:

HybriShop Seller Terms & Agreement

and

HybriShop Seller Policy.

These documents establish additional requirements for Sellers.

6. Marketplace Role

HybriShop generally acts as a marketplace and technology platform connecting Buyers and Sellers.

Unless expressly stated otherwise, Products are offered by independent Sellers.

HybriShop does not necessarily own, manufacture, inspect, warehouse, or directly sell Products listed by independent Sellers.

7. Product Information

Sellers are responsible for the accuracy of their Product listings.

HybriShop does not guarantee that every Seller listing is:

Accurate;
Complete;
Authentic;
Available;
Suitable for a particular purpose; or
Compliant with every applicable law.

HybriShop may take reasonable action against listings that violate marketplace requirements.

8. Orders

When a Buyer places an Order, the Order may be subject to:

Product availability;
Seller acceptance;
Payment authorization;
Delivery availability;
Applicable marketplace rules.

An Order may be cancelled or rejected where reasonably necessary.

9. Prices

Product prices are generally established by Sellers.

Prices may change before an Order is placed.

Applicable delivery charges, taxes, fees, discounts, or other charges may apply depending on the transaction.

10. Payments

HybriShop may support various payment methods through third-party payment providers.

Payment availability may vary by:

Location;
Product;
Seller;
Transaction type;
Payment provider.

Users agree to provide accurate payment information where required.

11. Delivery

Delivery may be handled by:

Sellers;
Third-party logistics providers;
HybriShop-supported delivery partners;
Other applicable service providers.

Delivery times are estimates unless expressly guaranteed.

Events outside reasonable control may affect delivery.

12. Returns and Refunds

Returns and refunds are governed by:

and applicable Seller-specific terms.

Mandatory legal consumer rights remain applicable.

13. Prohibited Activities

Users must not use HybriShop to:

Commit fraud;
Conduct illegal activities;
Infringe intellectual property;
Upload malware;
Manipulate reviews;
Create fake transactions;
Circumvent security;
Abuse marketplace systems;
Harass other users;
Misrepresent identity;
Sell prohibited Products.

14. Prohibited Products

Products prohibited or restricted under the:

HybriShop Prohibited & Restricted Products Policy

may not be listed or sold.

15. Intellectual Property

The HybriShop platform and its original content, software, design, branding, trademarks, graphics, interfaces, and other materials are owned by or licensed to HybriShop unless otherwise stated.

Users may not reproduce, modify, distribute, reverse engineer, or commercially exploit HybriShop intellectual property without authorization.

16. User Content

Users may submit:

Reviews;
Product information;
Photos;
Videos;
Comments;
Other content.

Users remain responsible for content they submit.

Users represent that they have the necessary rights to submit such content.

17. Reviews

Reviews should represent genuine experiences.

Users must not:

Submit fake reviews;
Manipulate ratings;
Impersonate other customers;
Threaten users over reviews;
Accept improper incentives for reviews.

HybriShop may remove content that violates applicable rules.

18. Communications

By creating an account or using HybriShop, users may receive service-related communications.

These may include:

Order confirmations;
Delivery updates;
Security alerts;
Account notifications;
Seller notifications;
Policy updates.

Marketing communications may be subject to applicable consent and opt-out requirements.

19. Privacy

Use of HybriShop is also governed by the:

20. Third-Party Services

HybriShop may integrate with third-party services.

Third-party failures;
Government restrictions;
Other circumstances.

22. Account Suspension

HybriShop may restrict, suspend, or terminate an account where reasonably necessary because of:

Fraud;
Illegal activity;

Abuse;
Repeated marketplace violations;
Other legitimate reasons.

Where appropriate, users may be provided an opportunity to resolve the issue or appeal.

23. Disclaimer

To the maximum extent permitted by applicable law, HybriShop provides marketplace services on an “as available” basis.

HybriShop does not guarantee:

Specific sales;
Specific revenue;
Specific customer numbers;
Specific Product availability;
Specific delivery times;
Uninterrupted service;
Marketplace success.

Nothing in these Terms excludes mandatory legal rights.

24. Limitation of Liability

To the maximum extent permitted by applicable law, HybriShop will not be responsible for losses arising solely from matters outside HybriShop's reasonable control.

This may include disputes concerning:

Seller Products;
Seller representations;
Seller fulfillment;
Buyer misuse;
Third-party services;
Independent Seller conduct.

Nothing in these Terms excludes liability that cannot legally be excluded.

25. Indemnification

To the extent permitted by applicable law, users may be responsible for claims or losses resulting from:

Their unlawful use of HybriShop;
Their breach of these Terms;
Their violation of third-party rights;
Fraudulent activity;
Content they submit;
Other misconduct attributable to them.

26. Governing Law

These Terms shall be interpreted in accordance with the applicable laws of Bangladesh, subject to mandatory legal rights and any valid separate agreement.

27. Dispute Resolution

Users should first attempt to resolve disputes through good-faith communication with HybriShop or the relevant Seller.

Where a dispute cannot be resolved informally, the parties may use applicable legal or dispute-resolution mechanisms available under applicable law.

Nothing in these Terms prevents a person from exercising mandatory legal rights.

28. Changes to These Terms

HybriShop may update these Terms from time to time.

Material changes may be communicated through appropriate channels where required.

The updated Terms will identify their effective date.

Continued use of HybriShop after the effective date may constitute acceptance where legally permitted.

29. Severability

If any provision is determined to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

30. No Waiver

Failure to enforce a provision does not constitute a permanent waiver of the right to enforce that provision.

31. Entire Agreement

These Terms, together with applicable HybriShop policies and agreements, constitute the applicable framework governing use of the HybriShop platform.

33. USER ACCEPTANCE
